General Terms and Conditions
of Sale (GTCS)
GRZEGORZ JĘDRYCH MATERIALIS
Valid from January 1, 2026
I. GENERAL PROVISIONS
- These General Terms and Conditions of Sale and Service provision (hereinafter: "GTCS") define the rules for concluding and performing sales contracts and providing services by GRZEGORZ JĘDRYCH MATERIALIS based in Wrocław, Poland.
- The GTCS constitute an integral part of every offer and contract concluded by the Seller with business entities (Buyer).
- The Buyer's general terms of purchase are excluded unless the Seller explicitly agrees to them in writing.
II. OFFERS AND ORDERS
- Technical information in catalogs is illustrative. A binding offer is only an individual offer addressed to a specific Buyer.
- The basis for concluding a contract is a written order from the Buyer, which must be confirmed by the Seller (Order Confirmation).
- For custom-made Goods, the Buyer bears full responsibility for the correctness of the technical documentation provided.
III. PRICES AND PAYMENT TERMS
- All prices are net prices (EXW Wrocław according to Incoterms 2020), to which VAT must be added.
- Transport and packaging costs are not included in the price unless agreed otherwise.
IV. DELIVERY TERMS
- Delivery dates are approximate unless explicitly guaranteed.
- Risk passes to the Buyer upon handover of the Goods to the carrier or the Buyer.
- The Buyer is obliged to inspect the Goods upon receipt. Defects must be reported immediately.
V. SERVICE CONDITIONS
- Site Preparation: For services performed at the Buyer's site, the Buyer must ensure proper access, power supply, and safety.
- Downtime: If service execution is delayed due to reasons attributable to the Buyer, the Seller has the right to charge for downtime.
- Acceptance: Upon completion of work, the Parties shall sign an Acceptance Protocol.
VI. WARRANTY
- The standard warranty period is 12 months.
- Warranty for belt splicing performed at the customer's site may be shorter depending on operating conditions.
- Warranty does not cover normal wear and tear or mechanical damage.
VII. LIABILITY
- The Seller's liability is limited to actual loss (damnum emergens) and excludes lost profits (lucrum cessans).
- Total liability is limited to the net value of the order.
VIII. FORCE MAJEURE
Neither Party shall be liable for non-performance due to Force Majeure.
IX. FINAL PROVISIONS
The competent court for disputes is the court having jurisdiction over the Seller's registered office (Wrocław, Poland).
